Trion Deepwater - Bidding Guidelines And Contract For The 1st Farmout Of Pemex

On July 27, 2016, the Mexico's National Hydrocarbons Commission (Comisión Nacional de Hidrocarburos) ("CNH") announced the call for a bid for the first association with Pemex Exploración y Producción ("Pemex") with the purpose of performing hydrocarbons exploration and extraction activities under a license contract in deepwaters at Trion Area (the "Bid"). CNH will publish on July 28, 2016, the bidding guidelines and model of contract in CNH's webpage ( and the call for the Bid in the Federal Register (Diario Oficial de la Federación).

In such regard, below please find the main aspects of the Bid informed by CNH and the Ministry of Energy (Secretaría de Energía) ("SENER"). A more detailed outline will follow shortly, but this is a courtesy preliminary report of the main points (it was prepared based on the information verbally shared by CNH and SENER, hence, subject to review of the project documents upon their publication):

I. Bid Schedule (Main Events).

Term to request access to the data room July 28, 2016 to August 29, 2016 Term to pay and be registered in the Bid December 2, 2016 to December 15, 2016 Term to request prequalification meeting July 28, 2016 to August 31, 2016 Submission of prequalification documents September 12, 2016 to September 15, 2016 Review of prequalification documents September 19, 2016 to November 4, 2016 Publication of prequalified bidders November 9, 2016 Term to change integration of consortiums November 14, 2016 to November 18, 2016 List of consortiums November 28, 2016 Opening & submission of proposals & award December 5, 2016 II. Access to the Data Room and Registry.

The process will have 5 stages: (i) access to the Bid's data room, (ii) clarification of bidders' queries (including questions of the participants about the JOA, which will be remitted by CNH to the Ministry of Finance ("SHCP") and to Pemex, respectively. Questions can be made if the Data Room access is secured), (iii) prequalification, (iv) opening and submission of proposals, and (v) execution of the relevant contract. The access to the information of the Bid's data room will be obtained through the purchase of a data license with the National Center of Hydrocarbons Information (Centro Nacional de Información de Hidrocarburos) through the payment of an amount equal or higher to $1.6 MM Pesos (approx.
